Welcome to Deftly, the AI product feedback hub. By accessing or using Deftly, you agree to comply with the following Terms of Service (“Terms”). Please read the Terms carefully before using Deftly. If you do not agree to these Terms, please do not use our services.

User Obligations

You agree not to use our platform for any unlawful, harmful, or inappropriate purposes. You shall not engage in any activity that should damage, disable, overburden, or impair our services.

You must not upload or transmit any malicious software, viruses, or harmful code to our platform.

You retain all rights to your product data; however, you grant us a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, and display your product data for the purposes of providing and improving our services.

Intellectual Property Rights

Deftly and its contents, including but not limited to its software, design, graphics, logos, trademarks and other intellectual property, are owned or licensed by Deftly and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use Deftly solely for your own internal business purposes in compliance with these Terms. You will not use, copy, reproduce, modify, distribute, transmit, display, perform, or create derivative works of Deftly or its contents without the prior written consent of Deftly. If you do any of these, we may terminate your use of Deftly.

In no event will Deftly be liable to you or any third party for any special, indirect, incidental, exemplary or consequential damages of any kind arising out of or in connection with our service or any other service and/or content included on or otherwise made available to you through our platform, regardless of the form of action, whether in contract, tort, strict liability or otherwise, even if we have been advised of the possibility of such damages or are aware of the possibility of such damages. Our total liability for all causes of action and under all theories of liability will be limited to the amount you paid to Deftly. This section will be given full effect even if any remedy specified in this agreement is deemed to have failed of its essential purpose.

You agree to defend, indemnify and hold us harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees, costs, penalties, interest and disbursements) we incur in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party relating to your use of Deftly or the use of Deftly by any person using your account, including any claim that your use of Deftly violates any applicable law or regulation, or the rights of any third party, and/or your violation of these Terms.

Deftly does not endorse or assume any responsibility for the content, privacy policies, or practices of such third-party websites or services. You acknowledge and agree that Deftly is not responsible or liable for any damages or losses caused or alleged to be caused by or in connection with your use of or reliance on any third-party websites or services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Deftly is headquartered, without regard to its conflict of laws principles.

Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts where Deftly is headquartered.

Termination

If you breach any of these Terms, we have the right to suspend or disable your access to or use of Deftly.
